PLEASE READ THESE TERMS OF USE CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS AND EXCLUSIONS, AND CLAUSES THAT GOVERN THE JURISDICTION AND VENUE OF DISPUTES.

Introduction

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "User," or "Customer") and Metaflow Technology Platforms Limited, a company incorporated in Canada and registered as a Money Services Business (MSB) with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), along with its affiliates and banking partners (collectively, "Taja," "we," "us," or "our").

These Terms govern your access to and use of the Taja mobile application ("App"), the website located at https://www.tajahq.com/ ("Website"), and all associated services, features, content, and functionalities provided by Taja, including the provision of multi-currency virtual accounts and payment processing services (collectively, the "Services").

Our collection, use, and protection of your personal information in connection with your access to and use of the Services are governed by our Privacy Policy, which is incorporated by reference into these Terms.

By downloading the App, accessing the Website, creating an account, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not access or use the Services.

The Services are intended for use by eligible individuals as defined herein and may not be available in all jurisdictions. Our Services are not directed at you if we are prohibited by any law of any jurisdiction from making the information or Services available to you, and are not intended for any use that would be contrary to local law or regulation.

1. Definitions

Unless otherwise defined herein, capitalized terms shall have the meanings ascribed to them below:

  • Account / Taja Account: the unique, non-transferable profile registered by an eligible User within the Taja App.
  • AML/CFT Policy: Taja's internal Anti-Money Laundering and Counter-Financing of Terrorism Policy.
  • Applicable Law(s): all applicable laws, statutes, regulations, rules, codes, guidelines, policies, directives, and orders of any governmental or regulatory authority.
  • App: the Taja mobile application.
  • Banking Partner(s): licensed financial institutions that provide underlying banking infrastructure.
  • Beneficial Owner: the natural person(s) who ultimately own or control a legal entity.
  • Business Day: a day other than a Saturday, Sunday, or statutory public holiday in Ontario, Canada.
  • Compliance Program, CDD / KYC, EDD, FATF, Fees, FINTRAC, Force Majeure, Intellectual Property, Payout Account, PCMLTFA, Personal Information, Platform, Privacy Policy, Prohibited Activities, Prohibited Third-Party Payout, Reasonable Grounds to Suspect (RGS), Services, Suspicious Transaction Report (STR), Terms, User, Virtual Account(s) — each term is used as defined in the original document and as commonly understood in AML/CFT and fintech contexts.

2. Acceptance and Modification of Terms

2.1 Binding Agreement

You form a binding legal agreement with Taja as soon as you commence using any part of the Services. You represent that you have the legal capacity to enter into this agreement.

2.2 Acceptance

By accessing the Platform or using the Services, you signify your irrevocable acceptance of these Terms. You agree to comply with all terms and conditions herein.

2.3 Modification of Terms

Taja reserves the right to modify, amend, or replace these Terms at any time. We will provide reasonable notice of material changes (e.g., posting updated Terms, emailing registered Users, or in-app notifications) and update the "Last Modified" date.

2.4 Effect of Modifications

Your continued use of the Services after notification constitutes acceptance of changed Terms. If you do not agree, stop using the Services and close your Account.

2.5 Modification of Services

Taja may change, suspend, discontinue, or impose limits on any aspect of the Services at any time without notice or liability for reasons including security, legal, regulatory, or business reasons.

3. Eligibility

3.1 Individual Users Only: Services currently offered only to individuals acting on their own behalf; business accounts not supported.

3.2 Age Requirement: You must be at least 16 years old with legal capacity to enter into binding contracts.

3.4 Compliance with Laws: You must not be prohibited from using the Services under any Applicable Laws, including sanctions regimes.

3.5 Verification: Eligibility subject to successful completion of identity verification. Taja may refuse service or terminate accounts failing checks.

4. Account Creation and Requirements

4.1 Registration: You must register and provide accurate, current information; update promptly when it changes.

4.2 One Account Per User: Only one Taja Account per individual; multiple accounts prohibited.

4.3 Account Security: You're responsible for safeguarding credentials and notifying Taja of suspected unauthorized access.

  • Date of Birth
  • Residential Address
  • Phone Number
  • Email Address
  • Bank Verification Number (BVN)
  • National Identification Number (NIN)
  • Government-Issued Photo ID (Passport, Driver's License, National ID)
  • Proof of Address (utility bill, bank statement)
  • Purpose of account and expected transaction activity (SoF, volume/frequency)

4.5 Accuracy Obligation: All information must be true, accurate, complete; false information may result in suspension, termination, or reporting.

4.6 Transaction Ownership: Use Services only on your own behalf; third-party use is prohibited.

5. Identity Verification (KYC / CDD)

5.1 Verification Requirement: Taja must identify and verify Users; cooperation is required.

5.2 Information Collection and Verification Methods

  • Matching against national identity databases (e.g., BVN/NIN)
  • Authenticity checks on government IDs
  • Biometric verification (facial recognition)
  • Address verification via documents or databases
  • Cross-referencing third-party data providers

5.3 Consent for Verification

You authorize Taja and third-party providers to make inquiries and checks to validate identity and eligibility.

5.4 Reliance on Information

Taja relies on accuracy of provided information and may request additional information; failure to provide may lead to restrictions.

5.5 Ongoing Verification

Taja may re-verify identity periodically or after trigger events (e.g., name change, high-risk transactions).

6. Scope of Taja Services

Subject to eligibility and compliance, Taja grants a limited, non-exclusive, non-transferable, revocable license to access and use the Services. Services include:

6.1 Virtual Account Provision

Upon successful KYC, Taja facilitates Virtual Accounts in available currencies (USD, GBP, EUR, NGN). Virtual Accounts are technical identifiers linked to pooled accounts held by Banking Partners.

6.2 Receiving Payments

You may share Virtual Account details to receive legitimate payments; you must ensure the source of funds is legitimate.

6.3 Holding Balances

Funds received are reflected as balances in your Taja Account and are held by Banking Partners.

6.4 Currency Conversion

Convert balances between available currencies subject to exchange rates and Fees disclosed at time of conversion.

6.5 Payouts

Payouts transfer funds to your verified Payout Account (typically in NGN). Payouts strictly limited to accounts legally owned by you and verified under the same name.

6.6 Transaction History

Access records of transactions, conversions, payouts, and Fees in the App.

6.7 Fees

Services are subject to Fees outlined in the Fee Schedule; Fees are subject to change with notice.

7. Virtual Account Usage Rules

7.1 Permitted Use: Virtual Accounts are for lawful payments related to your activities (salary, freelance income).

7.2 Prohibited Receipts: Do not use Virtual Accounts to receive funds from Prohibited Activities; Taja may block or reverse payments.

7.3 No Direct Debits or Outbound Payments: Virtual Accounts are receive-only; outbound transfers must be initiated as Payouts.

7.4 Account Limits: Limits may apply based on verification level and risk profile.

7.5 Dormant Accounts: Accounts inactive for an extended period may be classified as dormant; maintenance fees or escheatment may apply with notice.

8. Payouts and Currency Conversion Rules

8.1 Payout Authorization: You authorize Taja and Banking Partners to execute Payouts per your instructions.

8.2 Verified Payout Account

Payouts only to a verified Payout Account: licensed institution, legally owned by you, matching your verified Taja name.

8.3 Strict Prohibition on Third-Party Payouts

Never attempt a Payout to an account not legally owned by you. Violations are material breaches resulting in suspension, termination, reporting, and potential forfeiture.

8.4 Currency Conversion for Payouts

Payouts to Nigerian banks typically in NGN; convert foreign currency balances to NGN in the App before initiating Payouts.

8.5 Exchange Rates

Conversions use the rate displayed at confirmation, possibly including margin/spread; Taja not liable for rate fluctuations after confirmation.

8.6 Processing Times

Processing times vary by receiving bank and compliance checks; Taja not responsible for third-party delays.

8.7 Incorrect Information

You are responsible for accurate payout details; Taja not liable for losses due to incorrect instructions.

8.8 Reversals and Cancellations

Payouts and conversions are generally final once processed/confirmed and may not be reversible.

9. Fees and Charges

9.1 Applicable Fees: You agree to pay Fees as detailed in the Fee Schedule for receiving payments, conversions, payouts, account maintenance, chargebacks, and support requests.

9.2 Fee Disclosure: Taja will endeavor to disclose applicable Fees before transaction confirmation.

9.3 Deduction of Fees: Fees may be deducted from your Taja balance or transaction amount.

9.4 Fee Changes: Taja may change Fees with reasonable notice (e.g., 30 days) by email or in-app notification.

9.5 Taxes: You are responsible for applicable taxes; Taja not responsible for tax withholding except as required by law.

9.6 Third-Party Fees: Third parties (banks) may charge fees; Taja not responsible for those.

10. User Responsibilities

  • Maintain account security (passwords, MFA) and report unauthorized access.
  • Provide and maintain accurate information.
  • Use Services lawfully and in compliance with these Terms.
  • Monitor transactions and report discrepancies promptly.
  • Cooperate with investigations and provide requested documentation (CDD/EDD).
  • Secure your devices and use safe networks.

11. Prohibited Activities

You agree not to use the Services for:

11.1 Illegal Activities

  • Money laundering, terrorist financing, proliferation financing
  • Fraud, sanctions violations, unlawful gambling, trafficking

11.2 Violations of These Terms

  • Providing false information
  • Operating multiple accounts
  • Third-party/mule accounts
  • Attempting prohibited third-party payouts
  • Circumventing controls or structuring

11.3 Abusive or Harmful Conduct

  • Abusive or harassing conduct towards staff or users
  • Transmitting malware or attempting unauthorized access
  • Interfering with the Platform

11.4 Restricted Businesses/Activities

Certain businesses or activities deemed unacceptable or high-risk (e.g., unlicensed money transmission, high-risk crypto activities) are prohibited.

11.5 Intellectual Property Infringement

Violation of third-party IP rights is prohibited.

Violation of these rules may result in suspension, termination, freezing of funds, reporting to authorities, and other remedies.

12. AML/CFT Compliance

12.1 User Obligation: You acknowledge Taja's regulated status and agree to comply with KYC/CDD/EDD requests.

12.2 Taja's Right to Monitor: You consent to account and transaction monitoring for AML/CFT purposes.

12.3 EDD Requests

If flagged for high-risk activity (PEP status, residency in high-risk jurisdiction), provide SoW/SoF and additional documentation when requested.

12.4 Freezing, Holding, or Blocking Funds

Taja may hold or freeze funds if there are reasonable grounds to suspect ML/TF, sanctions matches, legal obligations, non-cooperation, or third-party payout violations. Funds may be held pending investigation and may be frozen or remitted to authorities when required. Taja not liable for good-faith compliance actions.

12.5 Account Suspension and Termination

Taja can suspend or terminate accounts for RGS of ML/TF, false KYC data, refusal to cooperate with EDD, third-party payout breaches, or legal directives.

12.6 Reporting to Authorities

Taja is obligated to report STRs and other prescribed reports to FINTRAC, NFIU, and other authorities without notifying the user; protected by law for good-faith reports.

12.7 No Liability for Compliance Actions

You agree Taja is not liable for damages from actions taken in good faith to comply with AML/CFT obligations (freezing funds, terminating accounts, reporting, etc.).

13. Information, Data Privacy, and User Submissions

13.1 Privacy Policy: Our Privacy Policy governs collection, use, disclosure, and protection of Personal Information and is incorporated into these Terms.

13.2 Consent to Data Use: By using Services, you consent to collecting, using, storing, processing, and disclosing your Personal Information for service provision, KYC/CDD/EDD, AML/CFT monitoring, compliance, and sharing with Banking Partners or necessary third parties bound by confidentiality.

13.3 Data Verification Authorization: You authorize verification through third-party databases as part of compliance.

13.4 User Submissions

Any feedback, suggestions, or submissions you provide are non-confidential; you grant Taja a worldwide, perpetual, royalty-free license to use such submissions.

14. User Representations and Warranties

By using the Services, you represent and warrant that you meet eligibility, provide accurate information, will use Services lawfully, act for your own account, will not engage in Prohibited Activities, and have authority to provide any submitted information.

15. Intellectual Property Rights

15.1 Ownership: Taja retains ownership of the Platform, App, content, and IP. Trademarks and trade dress may not be used without written consent.

15.2 Limited License: Subject to compliance, you get a limited license to use the App and Services for personal, non-commercial use.

15.3 Restrictions: You shall not copy, modify, rent, reverse-engineer, remove notices, or otherwise misuse the Platform or Services.

17. Termination

17.1 Termination by Taja: We may suspend or terminate your Account for breaches, RGS of ML/TF, non-cooperation, regulatory directives, dormancy, or risk reasons.

17.2 Termination by You: You may terminate your Account by contacting support provided there are no outstanding obligations.

17.3 Effect of Termination

On termination, access ceases. Taja may return remaining legitimate balances to your verified Payout Account minus Fees, pending compliance checks. Certain provisions survive termination. Records retained per law (typically 5 years).

18. Indemnity

You agree to defend, indemnify, and hold harmless Taja, affiliates, Banking Partners, and their personnel against claims arising from your violation of Terms, fraud, inaccurate information, security breaches, tax claims, IP infringement, or other misuse of Services.

19. Limitation of Liability

To the fullest extent permitted by law, Taja and related parties are not liable for indirect, punitive, incidental, special, or consequential damages, or for losses arising from use or inability to use Services, third-party conduct, compliance actions, interruptions, or other matters. Taja's total aggregate liability limited to greater of fees paid in prior three months or $100 CAD. Some jurisdictions may not allow certain limitations.

20. Disclaimer of Warranties

Services provided "AS IS" and "AS AVAILABLE" without warranties. Taja disclaims warranties of merchantability, fitness for purpose, non-infringement. No guarantee of uninterrupted or secure service; use at your own risk.

21. Governing Law

These Terms governed by laws of the Province of Ontario and federal laws of Canada, without regard to conflict of law provisions.

22. Dispute Resolution

22.1 Negotiation

Parties shall attempt to resolve disputes amicably; contact support at support@tajahq.com first.

22.2 Arbitration

Unresolved disputes to be resolved by final and binding arbitration administered by ADR Institute of Canada, single arbitrator, Toronto, Ontario, English language, individual capacity only, each bears own costs generally.

22.3 Exceptions

Either party may seek injunctive or equitable relief in court to prevent IP infringement.

22.4 Class Action Waiver

You waive right to class actions; disputes conducted in individual capacity only.

23. Force Majeure

Taja not liable for failures or delays due to Force Majeure events (natural disasters, war, pandemics, government actions, infrastructure failures). Taja will use reasonable efforts to notify Users if Services affected.

24. User Feedback

Feedback submitted to Taja is non-confidential; you grant a worldwide, perpetual license to use Feedback for any purpose without compensation.

25. General Provisions

  • 25.1 Entire Agreement: These Terms and incorporated documents are the entire agreement.
  • 25.2 No Waiver: Failure to enforce rights not a waiver.
  • 25.3 Severability: Invalid provisions severable.
  • 25.4 Assignment: You may not assign rights without Taja consent; Taja may assign freely.
  • 25.5 Notices: Notices by email, website, or in-app notification; date of email deemed date transmitted.
  • 25.6 Language: English version prevails.
  • 25.7 Headings: For convenience only.
  • 25.8 No Third-Party Beneficiaries: Terms don't confer rights to third parties except as stated.
